End User License Agreement

This End User License Agreement ("Agreement") governs use of the Cocci Bookkeeping application (the "App"), a locally-run bookkeeping cleanup tool operated by Asya Cocci, founder of Cocci Bookkeeping ("Cocci").

1. License grant

Cocci grants the operator (Asya Cocci, or another individual explicitly authorized by Cocci to run the App) a limited, non-transferable license to install and run the App on hardware they control, solely for the purpose of performing bookkeeping cleanup engagements on behalf of clients who have separately authorized QuickBooks Online access for that purpose.

2. Nature of the App

The App is a local desktop application. It is not sold, licensed, or made available directly to end clients of a bookkeeping engagement — it is operated exclusively by Cocci (or Cocci's authorized operator) on the operator's own machine. A client engaging Cocci for bookkeeping cleanup services is a party to the engagement agreement or subcontractor agreement governing that engagement, not a direct licensee of the App itself.

3. No warranty

The App is provided "as is." Cocci makes reasonable efforts to ensure detection findings are accurate and that write operations are safe, reversible, and never applied without explicit per-change approval — but the App is provided without warranty of any kind, express or implied, including fitness for a particular purpose. All corrections applied to a client's books are reviewed and approved by Asya Cocci, founder of Cocci Bookkeeping, in her professional capacity, before being written to QuickBooks Online; the App is a tool assisting that professional judgment, not a substitute for it.

4. Data handling

See the Privacy Policy for how the App accesses, processes, and stores QuickBooks Online data. In summary: all processing happens locally on the operator's machine; no client financial data is transmitted to or stored on any server operated by Cocci.

This license terminates automatically if the operator breaches any term above. A client may revoke the App's access to their QuickBooks Online company at any time via QuickBooks Online's own connected-apps settings, independent of this Agreement.

7. Governing terms

This Agreement is supplementary to, and does not replace, any separate engagement letter or subcontractor agreement governing a specific bookkeeping cleanup engagement.
